Evernorth, a Ripple-backed entity, is poised to go public on Nasdaq under the ticker symbol XRPN, pending shareholder approval. This move could provide stock market investors indirect exposure to a substantial cryptocurrency balance sheet, akin to a Bitcoin-centric corporate treasury model.
Evernorth’s Strategic XRP Utilization Strategy
Unlike traditional cryptocurrency holdings, Evernorth’s approach extends beyond simply holding XRP. The company plans to actively utilize its XRP reserves within the ecosystem, directing capital toward infrastructure and on-chain financial activities. A key objective outlined by the company is to gradually increase the amount of XRP per share over time.
According to a filing with the U.S. Securities and Exchange Commission, Evernorth made a commitment to purchase 473,276,430 XRP following a $214 million acquisition completed by the end of 2025. This marks one of the largest publicly known institutional XRP positions and serves as the core of the newly structured public company.
Evernorth has set a goal to leverage its XRP holdings across various sectors of the XRP economy, aiming to intensify XRP exposure per share over time.
Diversifying the Corporate Treasury Model
This initiative exemplifies a broader trend of publicly traded companies leveraging XRP as a balance sheet asset. However, Evernorth’s model differs in scale and purpose. While traditional strategies highlighted Bitcoin accumulation through equity and debt markets, Evernorth seeks to integrate active economic engagement within the XRP ecosystem.
The company’s ambition extends beyond merely increasing the total XRP owned. Their plan encompasses generating additional value from existing assets, with success partially gauged by XRP exposure per share. This differentiation is vital as shares of companies with digital asset treasuries may trade above or below the net value of their crypto assets. Persistent discounted pricing could make additional token acquisitions through new share issuances less attractive.
Revised Structure Ahead of Nasdaq Debut
In preparation for its Nasdaq listing, Evernorth has revised its agreement structure, aligning shareholder economic interests more closely with the value of its XRP holdings. This maneuver intends to narrow the valuation gap between the company and its XRP assets in public markets.
Additionally, the company secured $30 million in convertible bond financing to potentially support further XRP acquisitions, contingent on the completion of its Special Purpose Acquisition Company (SPAC) transaction.
The company established a structure aligning shareholder economics with the value of its XRP treasury and secured $30 million in convertible bonds for additional capital.
The emerging structure could offer a new avenue for investors seeking market access to XRP. Nonetheless, the model’s success remains contingent on both shareholder approval and the completion of the proposed transaction.
