Evernorth Holdings made its debut on the NASDAQ under the ticker XRPN following its completed merger with Armada Acquisition Corp. II, launching the largest publicly traded fund backed by XRP. However, its first trading day was met with substantial discounts and stringent regulatory limitations.
Active Management with Focus on XRP’s DeFi Potential
Contrasting traditional spot ETFs, Evernorth has established an actively managed fund structure, seeking opportunities within the XRP Ledger’s DeFi platforms and corporate credit sectors to enhance returns on cash and token reserves. The management has outlined a primary objective of increasing the XRP-per-share value over time.
The leadership team includes veterans who previously held positions at Ripple and Coinbase Asset Management. Evernorth plans to utilize its crypto assets beyond merely holding them on balance sheets, by channeling them into revenue-generating activities.
Evernorth, XRP varlıklarını yalnızca bilançoda taşımak yerine, XRP Ledger içindeki DeFi ve kurumsal kredi stratejilerine yönlendiren aktif bir model izliyor.
Protracted Merger Results in $450 Million Valuation Decline
Negotiated during late 2025, when XRP traded at $2.37, the merger terms were significantly impacted by the current price range of $1.34 to $1.40, leading to a substantial devaluation of Evernorth’s initial holdings of 473 million XRP and roughly $300 million in cash assets. Consequently, the company’s paper loss reached approximately $450 million.
Investor caution mirrored in the capital structure as 80.3% of SPAC participants opted for a cash exit at $10.58 per share, rather than participating in the crypto-focused venture. This decision left XRPN’s outstanding shares on the NASDAQ at 4.5 million.
This limited circulating supply increases the risk of volatile price movements, as scarcity can amplify trading fluctuations.
SPAC yatırımcılarının yüzde 80,3’ü ortaklık yerine nakit çıkışı seçerken, XRPN’in fiili dolaşımdaki pay miktarı 4,5 milyon hisseye düştü.
SBI Holdings Takes the Lead in Ownership Structure
Leading the shareholding with a 39.9% voting power, SBI Holdings, a significant player in Japan’s financial and technology sectors, continues its foray into digital assets. Arrington Capital follows with a 19.9% stake, contributing 211 million XRP to the ledger. Chris Larsen, co-founder of Ripple, manages a 9.9% stake through a trust, matching Ripple Labs’ restricted share, which includes 177 million XRP.
SEC Implements Six-Month Lock-Up to Counter Insider Sales
To curb potential insider sales, the SEC imposed a six-month lock-up period on the shares held by Arrington, Chris Larsen, and Ripple. These restrictions prevent their open market sale until April 2027.
The spot crypto market reaction remained tepid as Evernorth had preemptively secured the necessary XRP through over-the-counter transactions, avoiding a new surge in exchange demand. After briefly surging to $1.55, XRP prices have retraced to between $1.34 and $1.36 this week.
