On October 12th, shares of Evernorth Holdings, trading under the ticker XRPN, marked their official debut on the Nasdaq. Coinciding with the full trading session, the company submitted a new Form 8-K to the U.S. Securities and Exchange Commission (SEC). This regulatory filing corrected past technical inaccuracies and provided a detailed breakdown of the share distribution within the new XRP treasury.
Clarification of Share Allocation
According to the filing, the company’s treasury was constructed by directly exchanging XRP tokens for shares in the merged entity. This structure clarifies which investors wield influence within the new capital framework. Notably, the largest strategic position is held by SBI Holdings, the Japanese financial group, which acquired 9,431,914 Class A and 2,359,038 Class C shares. Chris Larsen, alongside his affiliates, controls 2,340,249 Class A shares. Ripple Labs holds 1,678,382 Class A shares directly, while a joint arrangement with the transaction sponsor gives it a say over 4,215,479 shares. Under the helm of Michael Arrington, Arrington XRP Capital secured 1,199,503 Class A shares.
The new filing detailed the direct exchange of XRP tokens for shares and clarified which investors now control the new treasury.
In a private placement, investors were allotted a total of 15,288,001 Class A and 31,392,746 Class C shares. In contrast, previous individual investors from Armada, the SPAC shell, were allocated merely 20.5% of the Class A shares in the new capital configuration.
First Trading Day Sees Notable Correction
The XRPN stock encountered a sharp correction upon its trading commencement. Before the merger, shares had languished at the typical SPAC floor level of $10.00 for an extended period. Anticipation of the deal’s closure at the end of September fueled a speculative surge. During pre-market trading, XRPN surged to $48.50, driven by heightened speculative interest. Technical indicators at the time indicated an overbought condition.
By the close of trading on October 13th, the stock had settled at $17.07, a dramatic decline equating to roughly one-third of its peak. The daily change registered a modest increase of 0.95%, while the Relative Strength Index (RSI) returned to a neutral stance at 49.92.
As of October 13th, XRPN stabilized at $17.07, and following prior volatile movements, the RSI indicated neutrality at 49.92.
Attention Turns to New Leadership
Following the initial wave of investor interest, market scrutiny now shifts to the performance of the new leadership team. Heading the management team is Hugo Jandesboz, a former executive from Coinbase Asset Management. The future trajectory of XRPN shares will largely depend on the management of the tokenized XRP treasury.
