In a bold initiative, the United States Securities and Exchange Commission (SEC) unveiled a five-year “Innovation Waiver” on September 17, which aims to grant a limited experimental freedom to specific Tokenized Security Platforms meeting certain conditions. This regulatory change enables approved platforms to facilitate trading of tokenized National Market System (NMS) shares through authorized automatic market makers and liquidity pools.

What’s next after the CLARITY Act setback?

Following the U.S. Senate’s failure to advance the CLARITY Act on September 15, the SEC swiftly introduced a measure aimed at keeping momentum in the digital securities market. The proposed legislation fell short by 11 votes, signaling a temporary halt in the broader regulatory reform for digital assets and market structure, leaving the crypto domain at a crossroads.

SEC Chairman Paul Atkins emphasized the agency’s intention to bring U.S. capital markets into the digital era and support the trading of tokenized NMS shares within a controlled environment.

The SEC’s approach avoids establishing a comprehensive crypto framework. Instead, it draws on existing powers to create a narrowly defined, temporary pathway for blockchain-based securities transactions. SEC Chairman Paul Atkins highlighted the objective of supporting the infrastructure necessary for digital markets while ensuring investor protections remain intact.

What comprises the framework for tokenized shares?

The new structure requires tokenized shares to offer the same rights and privileges as their traditional counterparts, encompassing voting, dividend, and ownership rights, ensuring clarity between synthetic products and genuine security-representative tokens.

Furthermore, should an unrelated third-party tokenize a company’s stock, the rules stipulate that the issuing company must receive notification and have the opportunity to oppose the listing on a platform.

Commission member Mark Uyeda noted that tokenization could streamline processes like issuance, trading, transfer, settlement, and ownership recording, reducing costs while boosting transparency and liquidity.

Strict guidelines and ongoing supervision?

The waiver does not grant unrestricted access to U.S. stocks via crypto platforms. The SEC imposes limits on both eligible security numbers and the volume traded on these platforms, requiring platforms to meet specified criteria to avoid classification as traditional exchanges.

To ensure transparency, it is mandatory for smart contracts to operate on public, permissionless distributed ledgers. Furthermore, platforms must provide publicly accessible information regarding their operations, trading activities, and transactions with related parties.

  • Tokenized NMS shares must align with traditional share rights and privileges.
  • Issuing companies have a right to be notified and object before listing by third parties.
  • Strict access and volume controls are implemented on crypto platforms.
  • Platforms must openly disclose operational and transactional details.
  • Smart contracts are required to run on public, auditable networks.

This regulatory adjustment is set to expire five years after its implementation, during which the SEC will collect public feedback and evaluate whether adjustments to the framework are warranted to continue advancing this nascent market space.
