Companies holding Bitcoin stocks are attracting attention with a significant but not equivalent investment to directly acquiring Bitcoin. One of the focused metrics to assess this distinction is the market Net Asset Value (mNAV). This factor measures how a company’s market value aligns with the Bitcoin it holds.

How is mNAV Calculated?

The mNAV metric is typically calculated by dividing the company’s equity market value by the market value of its Bitcoin holdings. When this ratio is at 1.0x, it indicates the company’s valuation is in line with its Bitcoin assets. An mNAV of 1.5x suggests investors are valuing each dollar of Bitcoin at 1.5 dollars in the company, while 0.8x represents a discounted pricing. However, mNAV calculations aren’t universal; they can incorporate debt, preferred shares, and subtract cash before comparing the derived enterprise value to the firm’s net Bitcoin assets. Why Do Companies Trade at a Premium?

Companies trading above their net asset value indicate that investors are interested beyond merely acquiring existing Bitcoin stock. This premium could allow firms to issue new shares, raising capital to purchase additional Bitcoin. When executed efficiently, this process can enhance the Bitcoin backing per circulating share.

A prime example is Strategy, which has successfully raised funds via share issuance to finance Bitcoin acquisitions. Despite its origins as a publicly traded software company, Strategy has distinguished itself in the market by accumulating substantial corporate Bitcoin reserves. According to its most recent SEC filing, the company held approximately 845,050 BTC as of September 7, valued at around $63.73 billion, with an average acquisition cost of $75,412 per Bitcoin. Recently, Strategy’s mNAV ratio hovered around 1.14x, indicating a modest premium over its net Bitcoin asset value, yet this ratio continuously fluctuates with changes in both MSTR shares and Bitcoin prices.

Strategy emphasizes that its mNAV measurement, comparing the share price against the net Bitcoin value per share, differs from traditional, accounting-based NAV.

Does a Discount Always Mean a Bargain?

Finding the mNAV beneath 1.0x isn’t inherently a sign of shares being undervalued. The market might be factoring in the company’s debt burden, preferred share obligations, dilution risk, management concerns, or potential future Bitcoin sales. Metaplanet exemplifies this scenario, recently trading around a 0.97x mNAV, illustrating that its market valuation closely matches or slightly undercuts its Bitcoin treasury. The firm, headquartered in Japan, stands out for its Bitcoin-focused balance sheet strategy.

The diminishing premiums observed in Bitcoin treasury stocks have previously resulted in losses for investors. Such premiums can melt away swiftly when capital markets don’t provide support. In light of this, Strategy has developed a multi-faceted structure beyond direct Bitcoin acquisitions, integrating borrowing instruments, preferred securities, and potential BTC sales to maintain liquidity.
