The U.S. Securities and Exchange Commission (SEC) has unveiled an “Innovation Exemption” program designed to streamline the trading of tokenized securities on blockchain platforms. Eligible platforms can operate without certain registration requirements and without acquiring exchange status for a period of five years, thus facilitating the trading of tokenized shares.

What Are Tokenized Securities?

Tokenized security platforms (TSP) can now integrate automated market makers (AMM) and liquidity pools. Under SEC supervision, these platforms are permitted to add underlying assets like stocks to liquidity pools, facilitating transactions between buyers and sellers through algorithmic processes.

How Does the Innovation Exemption Work?

Once businesses establish they meet the exemption criteria, they can notify the SEC prior to commencing operations. This notification-based approach replaces the need for individual SEC approvals, allowing for both self-tokenization of securities and third-party tokenization under specified conditions.

The most critical condition defining this regulatory framework is genuine stock ownership. Tokenized shares benefiting from the exemption must offer the same ownership rights—such as dividends and voting rights—as traditional shares. Synthetic tokens that replicate stock prices without transferring actual ownership are excluded, potentially barring some platforms from qualifying.

Robinhood CEO Vlad Tenev welcomed the SEC’s initiative, noting, “Tokenization is coming to the U.S. market,” highlighting advantages like instant settlement, 24/7 trading access, and fractional share trading directly supported by the system.

Tenev affirmed that the SEC’s intervention will enable Americans to benefit from these capabilities, marking a positive shift in U.S. market innovation. This will expand user access to crypto technology and the financial innovations built upon it.

  • Immediate benefit from tokenization will include fractional trading and round-the-clock transaction capabilities.
  • Genuine ownership of tokenized shares is mandatory to qualify for the exemption.
  • Long-term regulations are needed to ensure sustainable integration into capital markets.

SEC Chairman Paul Atkins described the exemption as a crucial step in integrating blockchain-based securities into U.S. capital markets, while noting its provisional nature. He emphasized the intention for companies to start operations within an approved framework, indicating that future regulatory measures will be developed to solidify blockchain markets as a sustainable option in the financial sector.
